("Company," "we," "us," or "our") (the "Website"), including any inquiries and communications submitted through the Website. By accessing the Website or submitting an inquiry through the Website, you ("user" or "you") agree to be bound by these Terms.

You may access and use the Website for lawful purposes and for your own personal or internal business purposes.

  • violate any applicable law or regulation
  • attempt to gain unauthorized access to Company's Website, people or  any systems or networks connected to the Website

  • conduct security testing of, or otherwise interfere with, the integrity or security of the Website without prior written authorization,

2.2 Feedback: Any feedback, suggestions, or ideas you voluntarily submit regarding the Website or Company's services may be used by Company without obligation or compensation to you.

Company does not warrant that the Website or Website Content will be accurate, complete, reliable, current, error-free, or fit for any particular purpose, or that the Website will operate without interruption.

To the maximum extent permitted by law, and except as otherwise provided in an executed MSA, Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the  use of the Website or general pre-engagement interactions, including loss of data, revenue, or business opportunity. Any liability arising out of or relating to services provided under an applicable MSA  is governed exclusively by the limitation of liability provisions of that MSA.

8. Indemnification

You agree to indemnify and hold harmless Company, its affiliates, officers, directors, employees, agents, and service providers from claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or relating to your misuse of the Website, violation of these Terms, or violation of applicable law, except to the extent such claims are caused by Company's gross negligence or willful misconduct.

9. Suspension and Termination

Company may restrict, suspend, or terminate your access to the Website at any time, with or without notice, including where Company reasonably believes that you have violated these Terms or applicable law.

Company may also modify, suspend, or discontinue the Website or any portion of it at any time.

Provisions of these Terms that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

10. Governing Law and Venue

These Terms and your access to and use of the Website will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania,  without regard to its conflict-of-law principles.

To the extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Website will be brought exclusively in the state courts located in Bucks County, Pennsylvania, or the United States District Court for the Eastern District of Pennsylvania, and you consent to the personal jurisdiction and venue of such courts.

11. Changes to These Terms

Company may update these Terms from time to time. Any changes will become effective when posted on the Website. Material changes will be reflected by updating the "Last Updated" date above. Your continued access to or use of the Website after changes take effect constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

12. Miscellaneous

Severability. If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

Waiver. No failure or delay by the Company in exercising any right or remedy under these Terms will constitute a waiver of that right or remedy.

Assignment. You may not assign or transfer your rights or obligations under these Terms without Company’s prior written consent. Company may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction.

Entire Agreement. These Terms, together with the Privacy Policy and any other policies expressly incorporated into these Terms, constitute the entire agreement between you and Company concerning your access to and use of the Website.

No Modification of Separate Agreements. Nothing in these Terms modifies, supersedes, or replaces any separate written agreement between Company and a client, employee, contractor, applicant, or other party.

No Third-Party Beneficiaries. Except as expressly stated in these Terms, these Terms do not confer any rights or remedies on any person or entity other than you and the Company.
